ARTICLE 1.8 (Inconsistent behaviour) |

A party cannot act inconsistently with an
understanding it has caused the other party to have and upon which that other
party reasonably has acted in reliance to its detriment. |

According to Article 1.8 of the UNIDROIT Principles of
International Commercial Contracts (2016), “[a] party cannot act inconsistently
with an understanding it has caused the other party to have and upon which that
other party reasonably has acted in reliance to its detriment.”
For example, in a distribution agreement, the Seller
knew from the outset that the Buyer was purchasing and reselling goods from a
competitor, even though the agreement prohibited such conduct. Despite having
this knowledge, the Seller initially took no action to enforce the prohibition.
Later, the Seller complained of the Buyer’s alleged violation in arbitration.
The arbitral tribunal ruled that the Seller’s complaint was precluded by
Article 1.8 because the Seller had effectively led the Buyer to believe that
such behavior would be tolerated, and the Buyer relied on that understanding to
its detriment.
