ИНКОТЕРМС 2020, Часть 2



            4. Распределение расходов.
Практика применения ИНКОТЕРМС 2010  показала, что у сторон возникали споры относительно распределения расходов «in or around the port or place of delivery»[1].
Перескажу, что я вычитал по данному поводу.
С конца 1960-ых годов появилась практика, когда грузы, перед погрузкой на суда, начали помещать в контейнеры. Это стало причиной того, что, например, базис поставки FOB стал wholly inappropriate, то есть совершенно не подходящим[2].
Базисы поставки FOB, CFR и CIF подходят для ситуации, когда продавец передает товар перевозчику путем размещения его на борту судна, что, в случае передачи груза в контейнере, на практике просто не происходит[3].

Сложившееся практика такова, что обычно в целях подготовки груза для перевозки на судне его помещают в контейнер либо в месте расположения продавца, либо  на специальном грузовом терминале[4]
Приведем выдержку из статьи А4  базиса FOB. “In either case, the seller must deliver the goods on the agreed date or within the agreed period and in the manner customary at the port”. «В любом случае, продавец обязан поставить товар в оговоренный сторонами день      (то есть, дату) либо период времени и в соответствии с обычаем (порядком) существующем в порту». 
Обратим внимание на фразу  «в соответствии с обычаем (порядком) существующем в порту».
Продавец должен руководствоваться обычаями (правилами) порта для того, чтобы поместить товар на борт судна. Это и становится проблемой, потому что груз на борт судна обычно помещает не компания продавца своими силами, а стивидорная компания[5]. И в данной связи начинается спор, кому (продавцу или покупателю), в частности, нести расходы на оплату стивидорной компании[6]
На практике данная проблема решалась с учетом следующей рекомендации.  «The seller’s obligation to place the goods on board may be extended by a phrase added to FOB, for example “FOB stowed” or “FOB stowed and trimmed»[7]. То есть, в договоре предлагалось к слову  FOB добавлять слова stowed (груз уложен) и trimmed (груз размещен в соответствии с требованием безопасной перевозки)[8]
Теперь, давайте сравним положения редакций ИНКОТЕРМС 2010, и 2020 относительно базиса FOB.
Вот редакция 2010 года
«The seller must pay
a) all costs relating to the goods until they have been delivered in
accordance with A4….»
«Продавец обязан уплатить
а) все расходы, связанные с товаром за период, до того, как товар поставлен в соответствии с  статьей А4…».
Логично, если товар поставляется на судно в соответствии, как было указано выше, с обычаями (правилами) порта, и эти правила предполагают, что контейнер на борту судна размещает стивидорная компания, то естественно покупатель обязан оплатить этой компании, чтобы осуществить поставку, также как он обязан платить третьим лицам за любую необходимую услугу, связанную с прохождением груза от места нахождения склада компании продавца до судна.  То есть, на первый взгляд, редакция 2010 достаточно хорошо регулирует этот вопрос.
Вот редакция 2020 года.
«The seller takes the cost:        cost of export clearance; cost of delivering the goods to the ship; any costs associated with damage to the goods before loading them to the vessel»[9].
«Продавец несет расходы: расходы по прохождению процедуры, связанной с экспортом; расходы, связанные с поставкой товара на судно; любые расходы, связанные с повреждением товара перед погрузкой товара на судно».
Обратим здесь внимание на слова «delivering the goods to the ship», которые можно понять как «поставка товара на судно», а можно понять и как «поставка товара к судну». Теперь обратим внимание на то, что указано в положении редакции 2020, регулирующем не расходы, а именно требование к поставке.
«The seller has to deliver the goods to the vessel at the place designated by the buyer»[10].
По моему мнению, здесь может быть несколько  вариантов понимания данной фразы.   И самое интересно, это то, что эту фразу можно понять, так, что продавец поставляет товар к судну в место, указанное покупателем.
Сравним эту фразу с редакцией 2010 года, где речь идет о требованиях к поставке.
«The seller must deliver the goods either by placing them on board the vessel nominated by the buyer at the loading point, if any, indicated by the buyer at the named port of shipment or by procuring the goods so delivered. In either case, the seller must deliver the goods on the agreed date or within the agreed period and in the manner customary at the port.
If no specific loading point has been indicated by the buyer, the seller may select the point within the named port of shipment that best suits its purpose».
Здесь, как мы видим, имеется точное требование к существу поставки – «on board the vessel», то есть, на борт судна. Обратим также внимание, что покупатель сообщает продавцу: а) информацию о судне, на которое должен быть поставлен товар; б) «the loading point» место загрузки; в)  информацию о порте отправки судна.
Понятие «a loading point» обычно обозначает место загрузки. В частности, это может быть и место загрузки груза в порту, место посадки пассажиров в транспортное средство[11] либо место отправки груза (в городе)[12] по сравнению с местом доставки груза (в другом городе). Однако данное понятие  («a loading point») может означать и тару, куда непосредственно загружается груз[13].
Но именно в рассматриваемом нами правиле указанное понятие означает место погрузки груза в порту. Это подтверждается тем, что, как указано выше, «If no specific loading point has been indicated by the buyer, the seller may select the point within the named port of shipment that best suits its purpose».
Можно ли из вышеприведенного сделать вывод, что в случае отсутствия сообщения продавцом информации о месте загрузки груза в порту, требованием к существу поставки согласно ИНКОТЕРМС 2010 (FOB) будет не размещение груза на борту судна, а размещение его в месте загрузки груза в порту, которое будет более подходящее в связи с обстоятельствами? Возможно, этот вопрос и был причиной споров по поводу того, кто продавец или покупатель должен брать на себя обязательства по организации погрузки груза на борт судна.   
Но, как мы видим, в редакции 2020 года по поводу базиса FOB уже нету требования «mustplacing them on board the vessel», а есть «has toto the vessel», что можно понимать как к месту загрузки судна.
Также указано, что продавец несет расходы «of delivering the goods» подчеркнем  «to the ship» а, не «on board the vessel».
То есть, с помощью редакции 2010 года еще можно доказать, что продавец несет расходы и по погрузке груза на борт судна и риски, связанные с данной погрузкой, за исключением случая, когда покупатель не сообщит о месте погрузки судна.  Но редакция 2020 года, по моему  мнению, сводит такую возможность к минимуму.
Поэтому имеющее место на практике, приведенные выше, указания в договоре «FOB stowed» или    «FOB stowed and trimmed»  не потеряют актуальности и при применении редакции 2020 года.
